Share capital development until 31 December 2009

Share capital

The number of outstanding shares in Obducat on 31 December 2009 was 532.359.870 divided into 10.082.918 serie A shares and 522.276.952 series B shares. The quota value of each share was SEK 0.10 and the share capital amounted to SEK 53.235.987. All shares give equal rights to the Company's assets and profits. Each series A share carries ten (10) votes and each series B share carries (1) vote.

Share capital development

The above table shows the development of the registered share capital since the Company was founded in 1989 (all amounts in SEK). All preferential rights issues, directed share issues and redemption of options have been subscribed for in cash. Exchange of promissory note refers to conversion of issued convertible debenture through set off against receivables.

Dilution

The maximum dilution effect possible is 39 per cent of the proportion of equity. It will occur should all holders of Obducat's convertible debenture loan 2008/2011 choose to convert the loan into shares, and if options TO05/07 and TO 06/08 are fully exercised forsubscription of new shares in the Company.

Ownership structure

On 31 December 2009 Obducat had 15.255 shares. The ownership structure on 31 December 2009 was:

* Principal owner Henri Bergstrand and joint owners Lars Montelius, Patrik Lundström and Babak Heidari.

The above includes, when applicable, also ownership through companies as well as spouses and children under age.
